“Kiran Mazumdar-Shaw’s resignation from Board”, declared Infosys

With effect from March 22, 2023, Kiran Mazumdar resigned from Infosys’ board as an independent director.

On the recommendation of the ‘Nomination and Remuneration Committee’, Infosys’s Board has nominated D. Sundaram as the lead independent Director of the company. Sundaram has been on the Infosys Board since 2017. He is a member of the Stakeholder Relations Committee, Audit Committee, Nomination and Remuneration Committee, Risk Management Committee, and Cybersecurity Risk Sub-Committee.

Nandan Nilekani, the chairman of Infosys, said, we are sincerely thankful to Kiran Mazumdar, who has been helping the board over the years by offering her valuable guidance. I am personally very grateful, as she has been a fantastic board colleague since I re-joined Infosys in August 2017.

We also congratulate D Sundaram on his appointment as Lead Independent Director, he said.

Kiran Mazumdar was appointed to Infosys’ Board of Directors as an independent Director in 2014, and as lead independent Director in 2018.

She was also a member of the Risk Management and ESG Committee, as well as the chair of the ‘Nomination and Remuneration’ Committee.
